1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LuxBath Pro LLC ("LuxBath Pro," "we," "us," or "our"), a limited liability company organized under the laws of the State of California. By accessing or using our website at luxbathpro.com (the "Site") or engaging with any services offered through the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue your use of the Site.

We reserve the right to modify these Terms at any time at our sole discretion. We will provide notice of any significant changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Description of Services

LuxBath Pro operates as a free referral and lead generation service that connects homeowners and property owners ("Customers") with independent licensed contractors and service providers who specialize in bathroom renovation and related services. Our services include, but are not limited to:

  • Facilitating introductions between Customers and independent service providers
  • Providing informational content about bathroom renovation services and best practices
  • Offering a platform for Customers to submit service requests and receive referrals
  • Providing educational resources to assist homeowners in making informed renovation decisions

Important: LuxBath Pro is not a contractor, does not employ contractors, and does not perform any renovation or construction services directly. All work is performed by independent third-party contractors who are separate from LuxBath Pro LLC.

3. Independent Contractor Relationship

All contractors, service providers, and other professionals connected through our Site are independent contractors and are not employees, agents, partners, or joint venturers of LuxBath Pro LLC. LuxBath Pro does not supervise, direct, control, or otherwise manage the work performed by independent contractors. Any contract for services is entered into directly between you and the independent contractor, and LuxBath Pro is not a party to that contract.

It is your sole responsibility as a homeowner to:

  • Verify that any contractor you hire holds a valid and current license issued by the California Contractors State License Board (CSLB) or the relevant licensing authority in your jurisdiction
  • Verify that the contractor carries adequate liability insurance and workers' compensation insurance
  • Conduct your own due diligence, including reviewing references and prior work
  • Negotiate and agree upon the scope of work, price, timeline, and payment terms directly with the contractor
  • Ensure all required permits are obtained for the work being performed

4. No Warranty on Contractor Services

LUXBATH PRO MAKES NO REPRESENTATIONS, WARRANTIES, OR GUARANTEES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE QUALITY, SAFETY, LEGALITY, TIMELINESS, OR ANY OTHER ASPECT OF THE SERVICES PROVIDED BY INDEPENDENT CONTRACTORS. THE SERVICES OF INDEPENDENT CONTRACTORS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

LuxBath Pro does not guarantee that contractors will complete work to your satisfaction, on time, within budget, or in compliance with all applicable building codes and regulations. Any disputes regarding contractor services must be resolved directly between you and the contractor. LuxBath Pro assumes no liability for any acts, omissions, errors, misrepresentations, or negligence of any independent contractor.

5. User Conduct and Prohibited Activities

By using our Site, you agree that you will not:

  • Use the Site for any unlawful purpose or in violation of any applicable laws or regulations
  • Submit false, inaccurate, or misleading information through our forms or communications
  • Attempt to gain unauthorized access to any portion of the Site or its related systems
  • Use any automated means, scraping tools, or bots to access, collect, or index any content on the Site
  • Transmit any viruses, malware, or other harmful code through the Site
  • Harass, threaten, or intimidate any LuxBath Pro employee, contractor, or other user
  • Use the Site in any manner that could damage, disable, overburden, or impair it
  • Reverse engineer any software or technology used in connection with the Site
  • Reproduce, distribute, or create derivative works of any content from the Site without our prior written consent

6. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, images, icons, audio and video clips, data compilations, and software, is the property of LuxBath Pro LLC or its content suppliers and is protected by applicable United States and international intellectual property laws. The LuxBath Pro name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of LuxBath Pro LLC.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes only. Any other use of the Site's content requires our prior written permission.

7. Privacy and Data Collection

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to our collection, use, and disclosure of your personal information as described in the Privacy Policy. Please review our Privacy Policy carefully to understand our practices.

8. Telephone Communications and TCPA Compliance

By submitting a contact form or calling us, you consent to receiving phone calls from LuxBath Pro and its network contractors at the phone number you provide, which may include calls made using an automatic dialing system or an artificial or prerecorded voice, and text messages. Consent is not a condition of purchase. Message and data rates may apply. You may opt out at any time by replying "STOP" to any text message or requesting removal during any phone call.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LUXBATH PRO LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU PAID US IN THE PRECEDING TWELVE (12) MONTHS, WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless LuxBath Pro LLC and its officers, directors, employees, agents, and successors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Site, your violation of these Terms, your violation of any third party's rights, or any claim that content you submitted caused damage to a third party.

11. Governing Law and Dispute Resolution

These Terms and any disputes arising from them shall be governed by the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you hereby consent to personal jurisdiction in such courts.

You and LuxBath Pro agree to resolve any disputes through binding individual arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
